SFPOA MEMBERSHIP MEETING MINUTES

FEBRUARY 28, 2024 @ 9:00 AM

President Mary Martinez called the meeting to order @ 9:04 am.


President Martinez began the meeting wit the Pledge of Allegiance and a moment of silence for
Richard Lawrence on his passing.

ROLL CALL:
Present: Mary Martinez, President, Dee LeMay, VP, Gene Page, Earl Roser, Karen Beckman,
and Vernon Bockey


Dawn Hassel, arrived after start of meeting due to Dr’s appointment

SECRETARY’S REPORT:

Secretary Kathy Messier read the minutes of February 19, 2024, of
the Board of Directors Meeting. President Mary Martinez asked Board to approve the minutes of
the meeting, all approved.

REVIEW PROPOSED AMENDMENTS TO BYLAW’S:
Chairperson Dee LeMay read the letter to the membership.


Dee LeMay stated that questions and comments would be taken from the membership about
the proposal of the Bylaws, with a time limit of 3 minutes and that no other questions would be
granted.


Dee LeMay explained that they updated the wording to today’s grammatical wording. So, such
words as Bylaws are now one word without a hyphen.


Articles 1 – 4 were read, the Dee LeMay asked President Martinez to call for discussion by the
Board of Directors. No discussion by Board members, discussion was opened to the
membership. Discussion ensued.


Articles 5 was read, and President Martinez was asked to call for discussion by the Board of
Directors, discussion ensued. Then the discussion was opened to the membership. Discussion
ensued.


Article 6 – 7 was read, and President Martinez was asked to call for discussion by the Board of
Directors, there was none. Then the discussion was opened to the membership. Discussion
ensued.


Article 8 was read and then President Martinez advised that she wanted to make it very clear
that #4 for the Treasurer read that they “Attend all Board of Directors Meetings” instead of
“Attend all regular meetings of the POA Association”. Further discussion.

Article 9 – 12 was read and then President Martinez asked the Board of Director’s if they had
any question, none were asked. Then it was opened to the membership and discussion
ensued.


Article 7 under basic rules #1 will change from “Social affairs, activities, and facilities of the
Association are not to be open to the general public nonmembers except when the Board
determines otherwise”, will change to “open to the general public”


President Martinez asked each Board member individually if they accepted the modified version
of the Bylaws. Each member said yes when their name was called.


President Martinez then called for adjournment @ 10:30 am, Dawn Hassel made the motion, 2 nd
by Vernon Bockey.
